Welcome to the website and related services (collectively, the “Site”) operated by DocuPolicy, a Texas based company headquartered at 2518 Montana Ave, El Paso, Texas ("DOCUPOLICY," "we," "our," or "us").         DOCUPOLICY shall not be liable for any direct, indirect, special,      punitive, incidental, exemplary, consequential, or any other damages, including but not limited to damages for loss of use, data, profits,  revenue, or business opportunities, even if  has been advised Docupolicy  possibility of such damages.
  • Aggregate Liability Cap:
        In no event shall the aggregate liability of DOCUPOLICY for any    damages, harm, or loss arising out of or relating to your use of the Site exceed one hundred U.S. dollars ($100.00 USD).
  • Exclusive Remedy:
        If you are dissatisfied with any aspect of the Site, your sole and      exclusive remedy is to discontinue use of the Site.

  9. Arbitration Clause

  • Binding Arbitration:
        Any dispute, controversy, or claim arising out of or relating to these      Terms or your use of the Site shall be resolved exclusively through      binding arbitration, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
  • Location and Governing Law:
        The arbitration shall take place in El Paso, Texas, and shall be conducted in English. These Terms and the arbitration will be governed by the laws of the State of Texas.
  • Arbitrator’s Decision:
        The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  • Costs:
        Each party shall bear its own costs and expenses associated with the      arbitration, except as otherwise required by applicable law.
  • Waiver of Class Action:
        You agree to resolve disputes on an individual basis and waive any right      to participate in a class, collective, or representative action.

  10. Indemnification

You agree to indemnify and hold harmless DOCUPOLICY, its affiliates, and representatives from any claims, damages, or expenses arising from:

  • Your violation of these Terms.
  • Your use of the Site in a manner inconsistent with applicable laws or      third-party rights.

  11. Security

While we employ reasonable measures to protect the Site, no online platform is completely secure. You are responsible for safeguarding your login credentials and for any activity conducted under your account.

  

12. Privacy

Your use of the Site is subject to our Privacy Policy, which outlines how we handle personal information and cookies. By using the Site, you consent to these practices.

  

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles.

  • Jurisdiction:
        All disputes shall be resolved in the state or federal courts located in El Paso, Texas, except as otherwise required by the arbitration clause above.
  • Statute of Limitations:
        Any claim must be filed within one (1) year from the date the cause of      action arises.

  14. Termination

We may suspend or terminate your access to the Site if you violate these Terms. Upon termination, you must immediately cease all use of the Site and destroy any copies of Content in your possession.

  

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrioPolPro regarding the use of the Site. Any waiver or modification must be made in writing and signed by both parties.


16. Severability 

 Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall (to the full extent permitted by law) not invalidate or render unenforceable such provision in any other jurisdiction.
